By accessing or using the BeyondRxAid platform ("Platform") operated by Beyond Innovations & Technologies ("Company," "we," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Platform.

2. Description of Service

BeyondRxAid is a healthcare compliance platform that provides tools and services for building, certifying, and operating production-grade healthcare applications. Our services include but are not limited to compliance management, healthcare application hosting, Surescripts integration, and related support services.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Platform, you represent and warrant that you meet these eligibility requirements.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials.
You agree to provide accurate, current, and complete information during registration.
You must notify us immediately of any unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of healthcare regulations.
Attempt to gain unauthorized access to any portion of the Platform or its systems.
Transmit malware, viruses, or any code of a destructive nature.
Interfere with or disrupt the integrity or performance of the Platform.

6. Healthcare Compliance Obligations

Users handling Protected Health Information (PHI) through the Platform must:

Execute a Business Associate Agreement (BAA) with Beyond Innovations & Technologies prior to transmitting PHI.
Comply with all applicable HIPAA regulations and state health information privacy laws.
Implement appropriate administrative, physical, and technical safeguards within their own organizations.
Report any suspected data breaches or security incidents to us within 24 hours of discovery.

7. Intellectual Property

All content, features, and functionality of the Platform, including software, text, graphics, logos, and trademarks, are owned by Beyond Innovations & Technologies and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

8. Payment Terms

Fees are as specified in your service agreement or subscription plan.
All fees are non-refundable unless otherwise stated in your agreement.
We reserve the right to modify pricing with 30 days' written notice.
Overdue payments may result in suspension of services.

9. Service Availability & SLA

We strive to maintain 99.9% platform availability. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by circumstances beyond our reasonable control, including but not limited to natural disasters, cyberattacks, or third-party service outages.

10. Limitation of Liability

To the fullest extent permitted by law, Beyond Innovations & Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Platform. Our total aggregate liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Beyond Innovations & Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or violation of any applicable law or regulation.

12. Termination

Either party may terminate the service relationship with 30 days' written notice. We may immediately suspend or terminate access for violations of these Terms. Upon termination, your right to access the Platform ceases, and we will handle data retention and deletion in accordance with our Privacy Policy and any applicable BAA.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Dallas County, Texas.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days prior to taking effect. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
